These General Terms and Conditions (“General Terms”) along with the proposal, work order, field ticket, delivery ticket, notes to pricing, contract or invoice referencing these General Terms or to which these General Terms are attached (“Order Document”) set forth the agreement between Surveillance Towers LLC (“STR”) and the customer (“Customer”) identified in the Order Document.

STR may provide to Customer (i) products, materials, supplies, machinery, parts, tools or equipment (“Equipment”), (ii) services (“Services”), (iii) rental of Equipment (“Rental”), or (iv) sales of Equipment (“Sales”). All Equipment, Services, Rentals, and Sales are collectively referred to as “Work”.

STR’s acceptance of the Order Document and performance of the Work is expressly conditioned upon Customer’s assent to these General Terms. Any different or additional terms contained in Customer documentation are rejected and shall not be binding on STR.

If Customer and STR have a valid Master Service Agreement (“MSA”), the MSA shall control in the event of any conflict.

1. Prices

A. Pricing & Taxes

Customer agrees to pay STR according to the prices in the Order Document or STR’s prevailing price schedule. Prices exclude taxes, fees, shipping, permits, mobilization, disposal, regulatory costs, and similar charges, all of which are the responsibility of the Customer.

B. Shipping

Prices are quoted from STR’s departure facility. Customer bears all shipping, handling, mobilization, and demobilization costs. STR may arrange shipping at Customer’s risk and expense and may charge an administration fee.

C. Site Conditions

Pricing assumes proper site conditions. Additional charges apply for unexpected conditions including soil, access, obstructions, or special handling requirements.

D. Installation

Installation personnel or equipment are not included unless specified and may be provided at STR’s prevailing rates.

E. Cancellation

Order Documents may only be modified or canceled with written consent. Customer is responsible for all incurred costs, standby fees, and demobilization charges.

F. Credit

STR reserves the right to approve or revoke credit and modify payment terms at its discretion.

G. Payment Terms

Payment terms are Net 30 unless otherwise stated. Late payments accrue interest up to 18% annually. Customer is responsible for collection costs including attorney fees.

H. Third-Party Costs

Third-party goods or services are billed at cost plus an administrative fee.

I. Invoice Disputes

Invoice disputes must be submitted within five (5) business days. Undisputed amounts remain payable.

J. Credit Balances

STR may apply credit balances to outstanding amounts with notice.

K. Anchoring Disclaimer

Anchor pricing assumes standard surfaces. Anchor systems do not prevent weather-related damage. Site remediation is excluded.

2. Delivery / Disclaimer

STR is not liable for delays. Equipment must be inspected upon delivery and is deemed accepted if not promptly rejected.

3. Risk of Loss

Risk of loss passes to Customer upon delivery or shipment. Storage fees may apply. Customer must maintain insurance.

4. Rental Terms

Customer assumes full responsibility for rented Equipment from delivery until return, including loss, theft, or damage.

Customer must maintain insurance unless waived under STR’s Rental Equipment Protection Addendum.

Equipment shall not be altered or moved. STR retains access rights for inspection, maintenance, or removal.

STR may disable or remove Equipment during hazardous weather conditions.

5. GPS Tracking

Customer consents to GPS and telematics data collection. STR owns such data and may use it per its Privacy Policy.

6. Confidentiality; Security; Interruptions

All confidential information is proprietary and protected. STR is not responsible for internet transmission risks or service interruptions.

7. Intellectual Property

All intellectual property developed during Work remains the property of STR. Customer may not reverse engineer or modify Equipment or Services.

8. Limited Warranty

STR warrants Equipment will be operational upon delivery and Services performed professionally. All other warranties are disclaimed.

Equipment and Services are provided “AS IS” except as expressly stated. STR is not liable for consequential damages.

9. Indemnification

Customer agrees to indemnify and hold STR harmless against all claims arising from Customer’s use, possession, or breach of these terms.

10. Insurance

Customer must maintain required insurance coverages and name STR as additional insured where applicable.

11. Compliance with Laws

Both parties shall comply with all applicable laws, including anti-corruption and sanctions regulations.

12. Force Majeure

Neither party is liable for delays due to events beyond reasonable control. Extended force majeure may result in termination.

13. Limitation of Liability

STR’s liability is limited to the amount invoiced for the affected Work.

14. Independent Contractor

STR is an independent contractor and not an agent or employee of Customer.

15. Video Surveillance Services

Video services are governed by STR’s End-User License Agreement.

16. Internet Services

Internet services are provided “AS IS” and subject to third-party provider terms including Starlink policies.

17. Acceptable Use

Customer must comply with STR’s Acceptable Use Policy.

18. Severability

Invalid provisions shall be adjusted to preserve intent. Remaining provisions remain enforceable.

19. Governing Law

These General Terms are governed by the laws of the State of New York. Venue shall lie in Nassau County, NY.

20. Changes to Terms

STR may modify these terms at any time. Continued use constitutes acceptance.

21. Entire Agreement

These General Terms and the Order Document constitute the entire agreement between the parties.
